  • Decide on a unique name for your LLC. It must not already be within the system maintained by the California Secretary of State; 
  • Complete and submit your Articles of Organization (Form LLC-1) with the state; 
  • Decide who will be responsible for managing your LLC—the members or managers; 
  • Select a registered agent to receive service of process on behalf of the LLC—you can choose a corporate registered agent or an individual residing in California; 
  • Develop and draft a written operating agreement for your LLC (not required, but highly recommended); 
  • File the Statement of Information (Form LLC-12) within three months (90 days) of Form LLC-1;
  • Pay the required LLC formation taxes to the State of California; and
  • Determine if you need an EIN number and/or any permits or licenses to operate the business. 

Of course, the minimum required steps to set up an LLC in California are not necessarily sufficient to put your business in the best position to thrive. For example, although California technically does not require written operating agreements for LLCs, it is highly recommended that you have an operating agreement in place for your business. A well-drafted operating agreement will protect your legal rights and financial interests.
